Client Services Terms
These terms apply when an organization engages Lometa LLC for expert training data, model evaluation, or related services. A signed order form, statement of work, or other project agreement sets the specific scope, schedule, fees, deliverables, and project requirements.
The agreement
These Client Services Terms are between Lometa LLC, a Texas limited liability company, and the organization identified in the applicable order form or signed project agreement (Client). The agreement consists of these Terms together with any order form, statement of work, and data-processing or security addendum signed by both parties. If documents conflict, the project-specific signed document controls for its subject, and these Terms control otherwise. Notices to Lometa may be sent to privacy@lometa.si or 7710 N FM 620 Bldg 13-D, Austin, TX 78726, United States.
Services and project scope
Lometa may provide expert research, data creation or curation, model or workflow evaluation, analysis, and related services described in a signed project document. The project document will define the applicable deliverables, milestones, acceptance process, schedule, dependencies, and fees. Lometa is not required to begin work until the project document is signed by both parties.
Client materials and responsibilities
Client is responsible for the accuracy and lawfulness of materials, data, instructions, and access it provides, and represents that it has the rights and permissions needed for Lometa and assigned experts to use them for the agreed project. Client will not provide information that it is not authorized to disclose or that project instructions prohibit. Client will provide timely decisions, access, and cooperation. Each party will comply with applicable law and the agreed project security requirements.
Personal information and confidentiality
Each party will protect the other party’s non-public information using reasonable care and use it only for the project or as otherwise permitted by the agreement. If Lometa processes personal information for Client, the parties will follow the data-processing terms they sign for the project. Client will provide any notices and obtain any permissions required for the data it supplies. Project-specific confidentiality, security, deletion, and data-handling terms in a signed agreement control if they differ from this section.
Work product and intellectual property
Each party retains its pre-existing materials, tools, methods, software, and intellectual property. Client retains rights in Client materials. Ownership, license rights, permitted model-training or evaluation use, and delivery of project-specific work product must be stated in the signed project document; neither party receives ownership of the other’s pre-existing materials by implication. Lometa may use general skills, experience, and know-how retained without use or disclosure of Client confidential information.
Fees, changes, and term
Fees, payment dates, taxes, expenses, and any cancellation or change fees are the amounts and terms stated in the signed project document. Any change to scope, timing, or fees must be agreed in writing by both parties. Either party may terminate as stated in the project document or, if it provides no termination procedure, by written notice if the other party materially breaches the agreement and does not cure within 30 days after receiving notice. Client will pay for services performed and approved non-cancellable expenses through the effective termination date. Provisions that by their nature should continue will survive termination.
Service standard and disclaimers
Lometa will perform the services in a professional and workmanlike manner. Unless a signed project document expressly states otherwise, services and deliverables are provided for Client’s internal business use and do not constitute legal, tax, medical, or other regulated professional advice. AI systems and evaluations may produce errors; Client is responsible for its own review and decisions. To the maximum extent permitted by law, other warranties are disclaimed, except that nothing in these Terms excludes a warranty that cannot lawfully be excluded.
Liability
Neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, to the maximum extent permitted by law. Except for a party’s confidentiality obligations, infringement or misappropriation of the other party’s intellectual property, fraud, willful misconduct, or liability that cannot legally be limited, each party’s aggregate liability arising from a project will not exceed the fees paid or payable for that project in the 12 months before the event giving rise to the claim. A signed project document may establish a different allocation of risk.
Governing law and disputes
These Terms and any dispute arising from them are governed by Texas law, without regard to conflict-of-law rules. The parties will first try in good faith to resolve a dispute through business representatives. If they cannot resolve it within 30 days, either party may bring the dispute in the state or federal courts located in Travis County, Texas, and each party consents to that jurisdiction and venue. Either party may seek urgent injunctive relief in a court with jurisdiction.
General terms and contact
These Terms and the signed project documents are the entire agreement about their subject and replace prior discussions on that subject. Neither party may assign the agreement without the other’s consent, except to a successor in a merger, reorganization, or sale of substantially all relevant assets. If a provision is unenforceable, the remaining provisions stay in effect. A waiver must be in writing. Changes to these Terms apply only when agreed in writing by both parties.
